1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the website located at alditech.site (the "Site") and the services provided by AlDiTech Solutions ("Company," "we," "us," or "our"). By accessing the Site or engaging our services, you ("Client" or "you") agree to be bound by these Terms. If you do not agree to these Terms, do not use our Site or services.

2. Services

AlDiTech Solutions provides professional IT services including, but not limited to:

• Custom web design and development
• CRM integration and configuration
• Business process automation
• VoIP and call tracking integrations
• SEO setup and Google Ads configuration
• Cloud infrastructure management

The specific scope of services for each engagement is defined in a separate written agreement, statement of work, or proposal agreed upon by both parties. In the event of a conflict between these Terms and a specific project agreement, the project agreement shall govern.

3. Use of the Website

You agree to use this Site only for lawful purposes and in a manner that does not infringe the rights of others. You agree not to:

• Use the Site in any way that violates applicable local, national, or international laws or regulations
• Transmit any unsolicited or unauthorized advertising or promotional material
• Attempt to gain unauthorized access to any part of the Site or its related systems
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site
• Use automated tools to scrape, crawl, or extract data from the Site without prior written consent

4. Intellectual Property

All content on this Site — including text, graphics, logos, icons, and software — is the property of AlDiTech Solutions and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any content without our express written permission.

With respect to deliverables created under a client engagement: upon full payment of all fees, AlDiTech Solutions assigns to the Client all rights, title, and interest in the custom-developed work product, excluding any pre-existing tools, frameworks, libraries, or third-party components, which remain subject to their respective licenses.

5. Payment Terms

Payment terms for specific engagements are set forth in the applicable project agreement or proposal. General terms apply as follows:

• Invoices are due within 14 days of issuance unless otherwise agreed in writing
• Overdue payments may accrue interest at 1.5% per month
• AlDiTech Solutions reserves the right to pause or terminate work in the event of non-payment
• All fees are non-refundable once work has commenced, unless otherwise agreed

6. Confidentiality

Both parties agree to keep confidential any proprietary, technical, or business information disclosed during the course of an engagement ("Confidential Information"). Confidential Information shall not be disclosed to third parties without prior written consent, except as required by law. This obligation survives the termination of any engagement for a period of two (2) years.

7. Disclaimer of Warranties

The Site and its content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

8. Limitation of Liability

To the maximum extent permitted by applicable law, AlDiTech Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with the use of the Site or our services, even if we have been advised of the possibility of such damages. Our total liability for any claim arising under these Terms shall not exceed the total fees paid by you to us in the three (3) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless AlDiTech Solutions and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Site, your violation of these Terms, or your infringement of any third-party rights.

10. Termination

Either party may terminate a service engagement upon written notice if the other party materially breaches these Terms and fails to cure such breach within 14 days of receiving written notice. AlDiTech Solutions may immediately suspend or terminate access to the Site for any user who violates these Terms. Upon termination, all provisions that by their nature should survive will survive, including intellectual property, payment obligations, confidentiality, and limitation of liability.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If negotiation fails, disputes shall be submitted to binding arbitration or resolved in a court of competent jurisdiction, as agreed upon in the applicable project agreement.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Site with an updated "Last updated" date. Your continued use of the Site following any changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
